1. ABOUT THESE TERMS AND THE ETERNITY ENTITIES

1.1 These Employer Terms of Use ("Terms") govern the creation and use of Employer Accounts and the purchase, access to or use of employer-facing products and services made available through Eternity Job, including job advertising, candidate management, candidate search or matching, messaging, company profile, analytics, AI-enabled tools and any recruiter-led services ordered from Agensi Pekerjaan Eternity.

1.2 Eternity Job is an online employment marketplace and technology platform operated by Eternity Connect Sdn. Bhd. (Registration No. 202601023199 (1685296-V)) ("Eternity Connect"). Eternity Connect owns, develops and/or operates the underlying technology and infrastructure of the Platform.

1.3 Agensi Pekerjaan Eternity Sdn. Bhd. (Company No. 202401030424 (1576273-D)) ("Eternity Recruitment") is a related company and licensed private employment agency in Malaysia. Eternity Recruitment is the service provider and contracting party for the Employer-facing recruitment and employment marketplace services governed by these Terms, including self-service Platform Services and any recruiter-led sourcing, screening, shortlisting, matching, interview coordination, placement or other recruitment services ("Recruiter Services") provided to Employers through or in connection with Eternity Job.

1.4 These Terms are between you and Eternity Recruitment in respect of the Employer-facing Services. Eternity Connect is the technology and Platform operator and is not, merely by owning or operating the Platform, the provider of the recruitment or employment-agency services supplied to you under these Terms. Eternity Recruitment may use Eternity Connect and other Eternity Group entities as technology or service providers in delivering the Services.

1.5 If an Order Form expressly identifies a genuinely separate technology-only service to be supplied directly by Eternity Connect, that separate service will be governed by the terms stated in that Order Form. Unless an Order Form expressly states otherwise, all Employer-facing recruitment marketplace products and Recruiter Services made available under these Terms are provided by Eternity Recruitment.

1.6 These Terms bind both the individual who accepts or uses the Services and the Employer organisation that the individual represents or claims to represent. By creating or using an Employer Account, purchasing a product, posting a Job Advertisement, requesting Recruiter Services or otherwise accepting these Terms, you confirm that you have authority to bind the Employer.

1.7 Employer products or Recruiter Services may be subject to additional product descriptions, Order Forms, package terms, promotional terms or service-specific conditions ("Additional Terms"). Additional Terms form part of your agreement for the relevant service. If there is an inconsistency, the more specific Additional Terms prevail for that service.

1.8 Our Privacy Policy / Personal Data Protection Notice ("Privacy Notice") explains how Eternity Connect and Eternity Recruitment process Personal Data in their respective capacities. The Privacy Notice applies alongside these Terms and does not replace your own obligations as an Employer or data controller.

2. DEFINITIONS

“Applicable Law” means any law, regulation, rule, licence condition, code, lawful direction or regulatory requirement applicable to the Employer, the relevant Eternity entity, the Services or the recruitment activity, including employment, immigration, anti-discrimination, advertising, consumer, intellectual-property, privacy and data-protection laws.

“Candidate” means an individual who uses Eternity Job or otherwise interacts with Eternity Recruitment for the purpose of seeking, considering or applying for employment or career opportunities.

“Candidate Data” means any Personal Data, CV, resume, profile, application, screening response, assessment result, message, note or other information concerning a Candidate that you receive, view, search, download or otherwise access through the Platform or Recruiter Services.

“Employer” means the company, business, organisation, partnership, sole proprietor, recruiter, agency or other person or entity that creates, controls or uses an Employer Account, purchases or uses Services, or on whose behalf an Employer User acts.

“Employer Account” means an account made available for an Employer to access employer-facing Platform Services.

“Employer Content” means any job advertisement, company information, logo, trade mark, image, text, job description, message, screening question, document, file, feedback or other material that an Employer or Employer User submits, uploads, posts or provides to us.

“Employer User” means an individual authorised by an Employer to access or use an Employer Account or the Services on its behalf.

“Eternity Group” means Eternity Connect, Eternity Recruitment and their respective holding companies, subsidiaries, related corporations, associated companies, affiliates and entities under common ownership or control from time to time.

“Eternity Job” means the online employment marketplace and technology platform operated by Eternity Connect under the name “Eternity Job”, including www.eternityjob.com and any related website, application, portal, software, feature or service made available through or in connection with that platform from time to time.

“Job Advertisement” or “Job Ad” means any vacancy, employment opportunity, role, internship or other hiring advertisement submitted for publication through the Platform.

“Order Form” means a quotation, proposal, commercial agreement, online checkout, service order, subscription confirmation, engagement letter or other written or electronic record setting out the specific Services, fees, duration or other commercial terms agreed for an Employer.

“Personal Data” has the meaning given under the Personal Data Protection Act 2010 [Act 709] (“PDPA”).

“Platform” means Eternity Job and the associated systems, databases, interfaces and employer tools operated by or for Eternity Connect.

“Platform Services” means the self-service or technology-enabled recruitment products and features provided by Eternity Recruitment through the Platform operated by Eternity Connect, including Job Ads, Employer Accounts, candidate-management tools, candidate search or matching, invitations, messaging, company profile, analytics and AI-enabled features.

“Recruiter Services” has the meaning in Section 1.3 and means recruiter-led services provided by Eternity Recruitment rather than merely the automated or self-service functions of the Platform.

“Services” means, according to context, the Platform Services and/or Recruiter Services.

“we”, “us” or “our” means Eternity Recruitment for the purposes of these Terms, except where a provision expressly refers to Eternity Connect or another Eternity Group entity.

“you” or “your” means the Employer and, where the context requires, the relevant Employer User.

3. EMPLOYER ELIGIBILITY, AUTHORITY AND VERIFICATION

3.1 Employer Accounts are intended for genuine hiring, recruitment and workforce-related purposes. You must not create or use an Employer Account for a false business, fictitious vacancy, data-harvesting exercise, scam, unrelated marketing activity or other improper purpose.

3.2 You must provide accurate, complete and current information about the Employer and each Employer User. We may require documents or information to verify the Employer, its registration, business address, authorised representatives, hiring activity, licences or authority to act.

3.3 Where the Employer is a company or other organisation, each Employer User confirms that he or she has authority to act for the Employer within the scope of the access granted. The Employer is responsible for ensuring that its Employer Users act within their authority.

3.4 If you are a recruiter, employment agency, outsourcing provider or other intermediary advertising or recruiting on behalf of a client, you must have the client’s authority and all licences, registrations or approvals required by Applicable Law. You must accurately identify the hiring party or your role as intermediary where required by law or the Platform.

3.5 Verification by Eternity Connect or Eternity Recruitment confirms only the matters actually checked. It is not an endorsement of the Employer, its financial standing, workplace, hiring practices or any Job Advertisement. We may refuse, suspend or withdraw verification where information is incomplete, inconsistent, outdated or reasonably raises legal, security or fraud concerns.

4. EMPLOYER ACCOUNTS, TEAM ACCESS AND SECURITY

4.1 The Employer is responsible for its Employer Account and all Employer Users added to it. Employer Users must not share credentials, permit unauthorised persons to use the account or use another person’s credentials.

4.2 The Employer must appoint and maintain appropriate account administrators, set suitable user roles or permissions where available, and promptly remove or restrict access for persons who leave the Employer, change roles or no longer require access.

4.3 The Employer is responsible for activities carried out through its Employer Account to the extent those activities result from the acts or omissions of its Employer Users or its failure to reasonably safeguard access credentials. This does not make the Employer responsible for unauthorised access caused by our breach of applicable security obligations.

4.4 You must notify us promptly if you suspect unauthorised access, credential compromise, Candidate Data misuse or any security incident affecting the Employer Account.

4.5 We may require password resets, multi-factor authentication, re-verification, session termination or other reasonable security measures and may restrict access until those measures are completed.

4.6 You must not sell, transfer, rent or provide Employer Account access to another organisation except where expressly permitted by us. If we permit related entities or external recruitment providers to access an account, the Employer remains responsible for ensuring their compliance with these Terms.

5. PLATFORM-BASED EMPLOYER SERVICES AND ADDITIONAL PRODUCT TERMS

5.1 Eternity Recruitment may make available through Eternity Job Platform Services including Job Ads, candidate search or matching, Candidate invitations, application management, messaging, Employer or Company Profiles, analytics, reporting, integrations and AI-enabled tools. The underlying Platform technology is operated by Eternity Connect.

5.2 The features, duration, usage limits, credits, visibility, search access, Candidate contact access and other entitlements of a Platform Service are those displayed in the Platform, stated in an Order Form or described in the applicable Additional Terms.

5.3 Unless an Order Form states otherwise, purchasing one Platform Service does not entitle you to another product, a particular number of applications, a successful hire, exclusivity, continued access to a Candidate, or any minimum level of response.

5.4 We may apply reasonable usage limits, rate limits, access controls, contact limits, anti-scraping controls and other fair-use measures to protect Candidates, the Platform and the integrity of the Services.

5.5 You must use each Platform Service only for the purpose for which it is supplied. A package, credit, Job Ad, Candidate contact entitlement or account access may not be resold, transferred or shared with another organisation unless expressly authorised.

6. RECRUITER-LED SERVICES BY AGENSI PEKERJAAN ETERNITY

6.1 In addition to the self-service Platform Services, Eternity Recruitment may offer recruiter-led services to Employers that require active recruitment assistance. Recruiter Services may include candidate sourcing, recruiter-led matching, screening, shortlisting, interview coordination, reference or qualification checks where authorised, offer coordination, placement support and related services.

6.2 The scope, fees, fee trigger, payment terms, exclusivity (if any), introduction period, replacement arrangement, guarantee period (if any), candidate ownership or introduction provisions, and other commercial terms for Recruiter Services must be set out in the applicable Order Form or Additional Terms. No replacement, refund, free re-search, exclusivity or other recruitment guarantee is implied unless expressly agreed in writing.

6.3 Where a Candidate is introduced, referred or sourced by Eternity Recruitment and the applicable Order Form provides that a fee becomes payable upon employment, engagement or another specified event, you must promptly notify Eternity Recruitment when that event occurs and pay the applicable fee in accordance with the Order Form.

6.4 You are responsible for the final decision whether to interview, hire, engage or employ a Candidate and for independently satisfying yourself as to the Candidate’s suitability, qualifications, references, identity, right to work, licences and other matters relevant to the role, except to the extent Eternity Recruitment expressly agrees in writing to carry out a specific verification.

6.5 Any screening, reference, background or verification information provided by Eternity Recruitment is limited to the scope actually performed and the information reasonably available from the relevant source. It is not a warranty of future performance, conduct, character or continued accuracy.

6.6 Eternity Recruitment may use the Platform and information lawfully available within the Eternity Group to support Recruiter Services, subject to the Privacy Notice, Candidate choices and Applicable Law.

6.7 Eternity Connect does not become the provider of the Platform Services or Recruiter Services merely because those Services are accessed, managed, delivered or communicated through technology that it owns or operates.

7. JOB ADVERTISEMENTS AND HIRING STANDARDS

7.1 Every Job Ad must relate to a genuine, current employment or career opportunity that you are authorised to advertise. You must not publish a Job Ad solely to collect CVs, test the market, build a database, generate sales leads or obtain Personal Data where there is no genuine recruitment purpose.

7.2 Job Ads must be accurate, clear and not misleading. You are responsible for the job title, duties, location, remuneration or salary information, benefits, hours, employment status, qualifications, experience, work-right requirements and all other statements made in the Job Ad.

7.3 You must not post, and we may reject or remove, a Job Ad that:

  • requires a Candidate to pay an application fee, deposit, purchase price, training fee, investment or other amount merely to apply for or secure the role, except where a payment is lawful, genuinely necessary and clearly unrelated to obtaining the job;
  • is a franchise, distributorship, investment, course, multi-level marketing arrangement, business opportunity or 'be your own boss' scheme presented misleadingly as ordinary employment;
  • contains discriminatory requirements, preferences or exclusions that are unlawful under Applicable Law;
  • contains false, deceptive or materially inaccurate information, including remuneration or conditions the Employer does not genuinely intend to honour;
  • uses another organisation’s name, logo, trade mark, vacancy or confidential information without authority;
  • relates to unlawful activity or a role that the Employer is not lawfully permitted or authorised to offer;
  • duplicates or repeatedly refreshes substantially the same role in a manner intended to manipulate search prominence or avoid product limits; or
  • contains malware, inappropriate content, unrelated advertising, misleading links or content that infringes another person’s rights.

7.4 You must comply with Applicable Law concerning employment advertising, employment agencies, immigration, equal opportunity, discrimination, wages, working conditions, trade descriptions and misleading conduct.

7.5 If you advertise on behalf of another organisation, you must have the necessary authority and, where applicable, hold the required employment-agency or recruitment licence. You remain responsible for ensuring the Job Ad complies with these Terms.

7.6 We may review, edit formatting, reclassify, reject, pause or remove a Job Ad where reasonably necessary to enforce these Terms, protect Candidates, maintain Platform quality, comply with law or correct obvious technical or classification issues. We will not intentionally alter the substantive meaning of a compliant Job Ad without reasonable basis.

7.7 You must review each Job Ad after publication and promptly correct or notify us of any material error. We do not guarantee that a Job Ad will appear in a particular position, receive a particular number of views or applications, or remain searchable after it expires or is removed.

7.8 The publication period for a Job Ad is the period shown at purchase or in the relevant product terms. Reposting, extending, refreshing or materially changing a Job Ad may constitute a new or additional Job Ad and may attract an additional fee if stated in the applicable product terms.

8. CANDIDATE SEARCH, MATCHING AND INVITATIONS

8.1 Where a Candidate-search, matching, recommendation or invitation feature is available, you may use it only to identify and contact Candidates for genuine employment or recruitment opportunities relevant to the Candidate’s profile, preferences or reasonable career interests.

8.2 Candidate search access is not a general contact list or a database for unrestricted retention. You must not bulk-download, scrape, harvest, compile, enrich or reproduce Candidate profiles or contact details, or use them to create a separate commercial database.

8.3 You must not circumvent Candidate visibility settings, contact limits, product credits, rate limits, access controls or other restrictions by creating multiple accounts, using bots, using another person’s credentials, contacting Candidates through improperly obtained details or other means.

8.4 A Candidate recommendation, match indicator, invitation response, profile visibility setting or AI-generated relevance signal does not guarantee that the Candidate is interested, available, suitable, eligible or willing to accept employment.

8.5 Candidates may change visibility settings, remove information, withdraw applications or close accounts. Your future access to Candidate information may therefore change or end without notice.

8.6 When contacting Candidates, you must accurately identify the Employer or authorised recruiter, communicate professionally, avoid harassment or excessive messaging, and comply with Applicable Law and any Candidate preference or opt-out communicated to you.

9. CANDIDATE DATA, PRIVACY AND DATA PROTECTION

9.1 Candidate Data is provided or made accessible solely for genuine recruitment, hiring, workforce-planning and related employment purposes. You must process Candidate Data in accordance with the PDPA and all other Applicable Law.

9.2 When you receive or access Candidate Data and determine your own purposes and means of using it, you may act as a separate data controller in respect of that data. You are responsible for your own privacy notice, policies, retention rules, security controls, data-subject requests and other legal obligations.

9.3 You must not use Candidate Data obtained through the Services to:

  • sell, resell, license, trade or commercially distribute Candidate Data as data;
  • market or sell unrelated goods, courses, financial products, services or opportunities to Candidates;
  • create marketing, lead-generation, credit, insurance, profiling, identity-resolution or data-broker databases unrelated to genuine recruitment;
  • contact a Candidate for an unrelated purpose for which the Candidate would not reasonably expect the data to be used;
  • make Candidate Data publicly available, publish it, post it on social media or disclose it to unauthorised persons; or
  • train, fine-tune, validate or improve an external AI or machine-learning model using Candidate Data obtained through the Services unless we and the relevant Candidate have authorised that use and it is lawful.

9.4 You may disclose Candidate Data internally only to personnel who genuinely need it for the relevant recruitment process and, where lawful and necessary, to service providers or related entities that are subject to appropriate confidentiality, security and data-protection obligations. You remain responsible for ensuring that any disclosure is permitted by law and consistent with the purpose for which the data was obtained.

9.5 You must implement reasonable technical and organisational security measures, including appropriate access controls, account management, confidentiality obligations and procedures for removing access when staff leave or change roles.

9.6 You must not request or collect Sensitive Personal Data from a Candidate unless it is reasonably necessary and lawful for the relevant role or legal obligation. Where explicit consent or another statutory condition is required, you are responsible for satisfying that requirement.

9.7 You must retain Candidate Data only for as long as reasonably necessary for your lawful recruitment, employment, compliance or dispute purposes and must securely delete, destroy or anonymise it when it is no longer required, subject to legal retention obligations.

9.8 If you transfer or make Candidate Data accessible outside Malaysia, you are responsible for complying with the cross-border transfer requirements of the PDPA and any other applicable data-protection law.

9.9 You must notify us without undue delay if you become aware of unauthorised access, disclosure, loss, misuse or another Personal Data breach involving Candidate Data obtained through the Services where the incident may affect Eternity Job, another user or our legal obligations, and you must reasonably cooperate with incident assessment and response.

9.10 We may suspend or terminate access immediately where we reasonably suspect Candidate Data misuse, unlawful disclosure, scraping or a serious privacy or security breach, and may report suspected contraventions to the relevant authorities where appropriate or required by law.

10. EXTERNAL CANDIDATE UPLOADS AND EMPLOYER-PROVIDED DATA

10.1 If the Platform permits you to upload, add or import information about a Candidate who did not provide that information directly through Eternity Job, you must ensure before uploading that you have lawfully collected the information and are authorised to provide it to us.

10.2 You warrant that you have provided any notice and obtained any consent required by Applicable Law for the Candidate Data to be uploaded, stored and processed through the Platform for the relevant recruitment purpose.

10.3 You must not upload Sensitive Personal Data, identity documents, medical information, criminal-history information or other high-risk information unless the feature is designed for that purpose and you have a lawful basis and any required explicit consent.

10.4 Where we process Employer-provided Candidate Data only on the Employer’s documented instructions, the parties’ respective controller and processor obligations may be further addressed in an Order Form or data-processing terms.

11. FEES, INVOICES, TAXES, CREDITS AND REFUNDS

11.1 Fees for Platform Services and Recruiter Services provided under these Terms are payable to Eternity Recruitment unless the relevant Order Form expressly states otherwise for a separate technology-only service. Each Order Form should identify the applicable Services, Fees and any separate service provider where relevant.

11.2 The price, package, subscription period, usage limits, credits, service period and any applicable discount are those displayed at purchase or stated in the Order Form. You are responsible for reviewing the applicable price before confirming a purchase.

11.3 Unless an Order Form states otherwise, invoices are payable within fourteen (14) days from the invoice date. We may require advance payment, a deposit, card payment or another payment method for particular Services.

11.4 Unless expressly stated otherwise, Fees are exclusive of service tax, sales tax, withholding tax and other taxes, duties or governmental charges that are legally payable in connection with the Services. You must pay the applicable amount or provide valid documentation for any lawful withholding.

11.5 You remain liable for Fees for Services that have been activated, supplied, reserved or made available to you even if you do not fully use them, unless the relevant Order Form or Applicable Law provides otherwise.

11.6 Credits, packages, promotional entitlements or prepaid usage rights are non-transferable and have no cash value unless expressly stated. Expiry, rollover, top-up and usage rules are those shown in the relevant product terms or Order Form.

11.7 Except where required by law or expressly stated in an Order Form, Fees are non-refundable once a Job Ad has been published, a product or subscription has been activated, Candidate access has been used, Recruiter Services have commenced, or the relevant service has otherwise been supplied. No refund is due where Services are suspended or terminated because of your breach.

11.8 If we permanently discontinue a prepaid Service for reasons unrelated to your breach and cannot provide a reasonably equivalent substitute, we may provide a pro-rata credit or refund for the unused portion, as appropriate.

11.9 If payment is overdue, Eternity Recruitment may suspend further Services, disable paid features, withhold deliverables or require advance payment for future Services. You are responsible for reasonable external costs actually incurred in recovering overdue amounts, to the extent permitted by law.

11.10 You may not set off or withhold undisputed amounts due to us because of a separate claim, unless permitted by law or agreed in writing.

12. COMPANY PROFILES, EMPLOYER CONTENT AND INTELLECTUAL PROPERTY

12.1 You retain ownership of intellectual-property rights you hold in Employer Content. You warrant that you have the rights and permissions necessary to provide Employer Content and authorise its use under these Terms.

12.2 You grant Eternity Connect and, where relevant, Eternity Recruitment and other Eternity Group entities a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, format, display, publish, transmit, adapt for technical compatibility and otherwise use Employer Content for the purpose of providing, promoting, securing and improving the Services, including displaying Job Ads and Company Profiles.

12.3 Where Employer Content is intended to be public, such as a Job Ad, company name, logo, description or Company Profile, you authorise us to make that content publicly accessible, searchable and shareable through the Platform and ordinary search or distribution channels associated with the product.

12.4 The Platform, software, databases, design, functionality, compilations, Eternity Job branding and content created by or for Eternity Connect are owned by or licensed to Eternity Connect or another member of the Eternity Group. Recruiter materials, methodologies and content created specifically by Eternity Recruitment may be owned by Eternity Recruitment or licensed to it.

12.5 Subject to these Terms and payment of applicable Fees, Eternity Recruitment, using the Platform and technology made available by Eternity Connect, grants you a limited, revocable, non-exclusive, non-transferable right to access and use the relevant Services for the Employer’s internal recruitment purposes.

12.6 You must not copy, reproduce, republish, reverse engineer, decompile, create a competing database from, resell or commercially exploit the Platform or our proprietary content except as expressly permitted.

12.7 If you provide suggestions, feedback or ideas about the Services, you permit the relevant Eternity entity to use that feedback without payment or restriction for product and service development, provided that we do not publicly identify confidential Employer information without permission.

13. AI-ENABLED AND AUTOMATED FEATURES

13.1 The Platform or Recruiter Services may use artificial intelligence, machine learning, matching, ranking, recommendation, summarisation, CV parsing, classification, analytics or other automated or semi-automated tools ("AI Features").

13.2 AI Features may assist with drafting or summarising Job Ads, organising applications, identifying potential Candidate relevance, generating recommendations, supporting search, detecting fraud or abuse, and improving recruitment workflow. The actual features available may change over time.

13.3 AI outputs may be inaccurate, incomplete, outdated, biased or missing context. You must independently review outputs before relying on them, publishing them, contacting a Candidate or making a recruitment decision.

13.4 You remain responsible for final employment and hiring decisions and for ensuring that your use of AI Features complies with Applicable Law, including laws relating to discrimination, privacy, employment and automated decision-making. You must not treat an AI-generated recommendation, ranking, score or summary as conclusive where human assessment is appropriate or legally required.

13.5 You must not input Personal Data, confidential information or Sensitive Personal Data into an AI Feature unless you are authorised to do so and the feature is intended for that information.

13.6 You must not attempt to extract confidential prompts, model weights, non-public system information, bypass safeguards, overload AI Features or use Candidate Data or Platform content to train an external AI model without prior written permission and any required Candidate authorisation.

13.7 Our use of Personal Data for AI, model improvement and automated processing is governed by the Privacy Notice and any feature-specific notice or consent.

14. ACCEPTABLE USE AND PROHIBITED CONDUCT

14.1 You must use the Services lawfully, honestly, responsibly and only for genuine recruitment, hiring or related business purposes authorised under these Terms.

14.2 You must not, directly or through another person, bot, script, automated tool or service:

  • scrape, crawl, harvest, data-mine, bulk-copy or systematically extract Candidate Data, Job Ads, company data or other Platform content except through an interface or API expressly authorised by us;
  • probe, scan, test, circumvent or defeat authentication, security controls, rate limits, anti-bot measures, usage limits or access restrictions;
  • access another Employer’s account, Candidate Data or non-public systems without authority;
  • introduce malware, destructive code or files designed to compromise the Platform, a Candidate or another user;
  • impersonate another organisation or person, create a deceptive Employer Account or misrepresent your authority;
  • use the Services to send spam, unsolicited unrelated marketing, abusive messages, harassment or unlawful communications;
  • resell, sublicense, rent, share or commercially exploit Services or account access except with our prior written approval;
  • use the Platform or Candidate Data to establish or operate a competing job board, candidate database, data brokerage service or substantially similar product;
  • circumvent payment, credit, contact, subscription or product limits; or
  • use the Services for fraud, scams, unlawful conduct or any purpose inconsistent with these Terms.

15. THIRD-PARTY SYSTEMS, INTEGRATIONS AND RECRUITMENT SOFTWARE

15.1 The Services may link to or integrate with third-party applicant-tracking systems, recruitment software, assessment tools, identity-verification providers, communication tools, payment providers, HR systems or other services.

15.2 If you authorise a third-party provider to connect to your Employer Account or access data on your behalf, you are responsible for that authorisation and for ensuring that the provider is lawfully entitled to process the relevant data. We may require the provider to accept separate API, integration or data-security terms.

15.3 A third-party integration does not mean that we endorse or guarantee the third party. Your use of the third-party service may be governed by its own terms and privacy notice.

15.4 We may suspend or disconnect an integration where reasonably necessary for security, privacy, legal, technical or service-integrity reasons.

16. CONFIDENTIALITY

16.1 Each party must keep confidential non-public commercial, technical, pricing, Candidate, business and other information disclosed by another party in connection with the Services where the information is identified as confidential or would reasonably be understood to be confidential.

16.2 Confidential information may be used only for the purpose for which it was disclosed and may be shared only with personnel, professional advisers, service providers or related entities that need to know it and are subject to suitable confidentiality obligations.

16.3 Confidentiality does not apply to information that is lawfully public, was already lawfully known without restriction, is independently developed without use of the confidential information, or is lawfully received from another source without confidentiality obligation.

16.4 A party may disclose confidential information where required by law, court order or regulatory authority, provided that it gives prior notice where lawful and reasonably practicable.

16.5 Candidate Data remains subject to the stricter obligations in Section 9 even where it also constitutes confidential information.

17. AVAILABILITY, CHANGES AND MAINTENANCE

17.1 We aim to keep the Platform and Services available, but do not guarantee uninterrupted, continuous, error-free or defect-free operation. Maintenance, upgrades, outages, security incidents, telecommunications failures or third-party systems may affect availability.

17.2 We may add, modify, replace, restrict or discontinue features where reasonably necessary for legal, regulatory, security, technical, product or business reasons. Paid Services remain subject to the applicable Order Form and Section 11.8.

17.3 You are responsible for maintaining your own copies of Job Ads, contracts, Candidate records and other information that you are legally required to retain. The Platform must not be treated as your sole record-keeping system.

17.4 Search ranking, matching, audience reach and product performance may vary over time as the Platform, Candidate pool, algorithms and market conditions change.

18. SUSPENSION, RESTRICTION AND TERMINATION

18.1 You may stop using free Platform Services at any time. Paid Services, subscriptions and Recruiter Services may be cancelled or terminated only in accordance with the relevant Order Form, product terms and these Terms.

18.2 We may reject registration, remove or pause Job Ads, restrict Candidate access, suspend an Employer User, suspend an Employer Account, refuse further Services or terminate all or part of the agreement where we reasonably believe this is necessary because of:

  • fraud, impersonation, scams, unlawful conduct or materially false business information;
  • misuse, scraping, sale or unlawful disclosure of Candidate Data;
  • a serious or repeated breach of these Terms or Applicable Law;
  • non-payment of undisputed Fees when due;
  • conduct threatening the security, integrity, reputation or availability of the Platform or another user;
  • unlawful, misleading, discriminatory or non-genuine Job Ads;
  • abusive, threatening, discriminatory or inappropriate conduct towards Candidates, our personnel or other users;
  • a court, regulator, law-enforcement, licensing or other legal requirement; or
  • a need to protect Candidates, preserve evidence, investigate suspected misconduct or prevent material harm.

18.3 For a remediable breach that does not require urgent action, we may give a reasonable opportunity to remedy the breach. We are not required to do so where delay may create legal, security, Candidate-safety or fraud risk.

18.4 Where suspension or termination results from your breach, you are not entitled to a refund for affected Services except to the extent required by law. Accrued payment obligations, Candidate-data restrictions, confidentiality, intellectual-property provisions, indemnities, liability provisions and other clauses intended to survive will continue.

18.5 Termination of Platform Services does not automatically terminate a separate Recruiter Services engagement, and termination of Recruiter Services does not automatically terminate the Employer Account, unless the relevant notice or Order Form states otherwise.

19. WARRANTIES, DISCLAIMERS AND LIMITATION OF LIABILITY

19.1 Nothing in these Terms excludes, restricts or modifies any right, remedy, warranty or liability that cannot lawfully be excluded, restricted or modified.

19.2 Subject to Section 19.1 and to the maximum extent permitted by law, the Services are provided on an "as available" basis. We do not warrant that the Platform will be uninterrupted, that every Candidate or Job Ad is accurate, or that the Services will produce a particular number or quality of applications, interviews, hires, placements or other outcomes.

19.3 Candidates are responsible for information they provide. We do not warrant the truth, completeness or continuing accuracy of a Candidate’s CV, profile, representations, qualifications, references, background or work eligibility except to the limited extent a specific verification has been expressly carried out by Eternity Recruitment.

19.4 The Employer remains responsible for all hiring, employment and workplace decisions and for compliance with Applicable Law. Neither Eternity Connect nor Eternity Recruitment is the employer of a Candidate merely because the Candidate was found through the Services.

19.5 Subject to Section 19.1 and to the maximum extent permitted by law, neither Eternity Connect nor Eternity Recruitment is liable for indirect, incidental, special, exemplary or consequential loss, loss of profit, revenue, business, opportunity, goodwill, anticipated savings or data arising from the Services.

19.6 Subject to Section 19.1, the aggregate liability of Eternity Recruitment arising out of or relating to the Services under these Terms will not exceed the total Fees paid or payable to Eternity Recruitment for the affected Services during the twelve (12) months immediately preceding the event giving rise to the claim.

19.7 To the extent Eternity Connect is directly liable to you in connection with the ownership, operation or provision of the underlying Platform technology, and that liability may lawfully be limited, its aggregate liability will not exceed the total Fees paid or payable to Eternity Recruitment for the affected Platform Services during the twelve (12) months immediately preceding the event giving rise to the claim.

19.8 If no Fees were paid or payable for the relevant Service, the aggregate liability of the relevant Eternity entity for claims arising from that free Service will not exceed RM1,000.

19.9 The limitations in this Section do not apply to fraud, fraudulent misrepresentation, wilful misconduct or any liability which Applicable Law requires to remain unlimited.

20. INDEMNITY

20.1 To the extent permitted by law, the Employer indemnifies the relevant Eternity entity, its officers and employees against third-party claims, liabilities, losses, damages, penalties and reasonable external costs arising directly from:

  • a material breach of these Terms by the Employer or an Employer User;
  • a Job Ad, Employer Content or representation supplied by or on behalf of the Employer that infringes another person’s rights or breaches Applicable Law;
  • the Employer’s unlawful collection, use, disclosure, retention, transfer or misuse of Candidate Data;
  • fraud, wilful misconduct or negligent acts or omissions of the Employer or its Employer Users; or
  • the Employer’s hiring, employment or workplace conduct, except to the extent the claim was caused by the relevant Eternity entity’s own breach of law or contractual obligation.

20.2 An indemnified party must take reasonable steps to mitigate loss and must not recover twice for the same loss.

21. CHANGES TO THESE TERMS

21.1 We may amend these Terms from time to time to reflect changes in law, security, technology, products, business structure or the Services. The current version will be available on the Platform and will state the date it was last updated.

21.2 Where an amendment materially and adversely changes an Employer’s existing paid contractual rights, we will provide reasonable advance notice where practicable, unless an earlier change is required by law, security or urgent operational necessity.

21.3 If you do not agree to an amended version, you should stop using the affected Services and, where applicable, exercise any termination right available under the relevant Order Form before the amendment takes effect. Continued use after the effective date constitutes acceptance to the extent permitted by law.

22. GOVERNING LAW AND DISPUTES

22.1 These Terms and any Order Form governed by them are governed by the laws of Malaysia unless the Order Form expressly states otherwise.

22.2 Subject to any statutory right to bring a claim before a competent tribunal or authority, the courts of Malaysia have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Services.

22.3 Before commencing court proceedings, a party may give written notice of the dispute and the parties may attempt in good faith to resolve it through their authorised representatives. This does not prevent urgent injunctive relief, debt recovery or the exercise of a statutory right.

23. GENERAL PROVISIONS

23.1 These Terms, the applicable Order Form and any Additional Terms constitute the agreement for the relevant Services. The Privacy Notice is a separate notice concerning Personal Data and statutory privacy rights.

23.2 If there is an inconsistency, the following order of precedence applies unless expressly stated otherwise: (a) a specifically negotiated and signed commercial agreement; (b) the applicable Order Form or service-specific Additional Terms; and (c) these Terms.

23.3 You may not assign or transfer your rights or obligations under these Terms without our prior written consent, not to be unreasonably withheld where the proposed transferee is capable of performing the obligations. A change in control may be treated as a transfer where it materially affects the agreement or risk profile.

23.4 Eternity Recruitment may assign, transfer or novate its rights or obligations under these Terms to another member of the Eternity Group or a successor to the relevant business, subject to Applicable Law and reasonable notice where the transfer materially affects you. Eternity Connect may separately transfer, license or reorganise ownership or operation of the Platform or its technology, provided that this does not materially reduce the Services to which you are contractually entitled.

23.5 Nothing in these Terms creates a partnership, joint venture, fiduciary relationship or agency between the Employer and an Eternity entity. Neither Eternity Connect nor Eternity Recruitment has authority to bind the Employer to an employment contract with a Candidate.

23.6 If any provision is invalid or unenforceable, it will be severed or interpreted to the minimum extent necessary and the remainder will continue in effect.

23.7 A failure or delay to enforce a right does not waive it. A waiver must be specific to the relevant matter.

23.8 Neither party is liable for delay or failure caused by circumstances beyond its reasonable control, except for payment obligations already accrued and obligations which Applicable Law does not permit to be excluded.

23.9 We may give notices electronically through the Platform, an Employer Account, the registered email address, an Order Form or another agreed contact method. You are responsible for keeping contact details current.

23.10 These Terms may be published in English and Bahasa Malaysia. Both versions are intended to have the same meaning. If there is an inconsistency, the English version prevails to the extent permitted by law.
